1. About these Terms

These Terms govern your use of vakilstudio.in and the services of VakilStudio, a proprietorship of Avipsit Rath ("VakilStudio", "we", "us"), GSTIN 21AWPPR8563A1ZE, Srihari Vihar, Jatni, Bhubaneswar, Odisha - 752050. By registering or placing an order you ("Advocate", "you") agree to these Terms, the Disclaimer, the Privacy Policy and the Refund and Revision Policy.

2. Eligibility

Only advocates enrolled with a State Bar Council, and law firms acting through such advocates, may register. You must give a true enrollment number and upload proof of enrollment. We may verify, refuse, suspend or close any account at our discretion, including where enrollment cannot be verified or these Terms are breached.

3. Account

You must verify your email and mobile number by OTP, keep your login secure and not share your account. You are responsible for all activity under your account.

4. Services

We provide legal research memos, case briefs, citation searches, drafting and other services listed on the website from time to time. The scope, price, urgency tier and turnaround time ("TAT") of each order are those shown at checkout or in the quote you accept. We do not appear in court, give advice to your client, or act as advocate on record.

5. Your responsibilities

You will:

• (a) give complete and accurate facts, documents and instructions;
• (b) have the right to share every document you upload, including your client's consent where required;
• (c) answer clarification requests promptly;
• (d) independently verify all work product, especially citations, before use; and
• (e) remain solely responsible for advice to your client and for anything filed or argued.

6. Conflict check

You must disclose the parties and opposite parties. We may decline an order where we have a conflict of interest, and will refund any amount paid in full.

7. Prices and payment

Prices are in Indian Rupees and are shown before you pay. Fixed-price services are priced at checkout; drafting is priced by quote, valid for 3 days. You pay 50% in advance through our payment gateway (PayU) to start the work and the remaining 50% when the work is ready, before the final files are released. GST is charged or not charged according to law and shown on the invoice. Coupons are subject to their stated conditions, one per order, and cannot be exchanged for cash.

8. TAT

The TAT starts once the advance is paid and all required information and documents are submitted. It pauses while we await your reply to a clarification, and stops when the work is marked ready. If we miss the TAT, the Refund and Revision Policy applies.

9. Delivery and files

You can view a watermarked preview when the work is ready; editable files are released after the balance is paid. Uploaded documents and deliverables are permanently deleted 15 days after completion. Please download everything you need; we cannot recover deleted files.

10. Feedback

After each completed order you must submit feedback before placing a new order. Feedback is used internally and is not published.

11. Confidentiality

We keep your documents and instructions confidential, use them only to perform your order, and limit access to the team member working on it, each of whom is bound by a written confidentiality undertaking. We may disclose information only where required by law.

12. Intellectual property

On full payment, you receive the right to use the work product for your professional purposes, including filing and sharing it with your client. We retain our general know-how, templates and research methods. Website content, including Legal Updates, belongs to VakilStudio and may not be copied without permission.

13. Acceptable use

You must not use the services for any unlawful purpose, to prepare false or vexatious pleadings, to harass any person, or to infringe anyone's rights; must not upload malware; and must not attempt to access other users' data. We may cancel such orders without refund and close the account.

14. Limitation of liability

Work product is research and drafting support for a professional who exercises independent judgment. To the extent permitted by law, our total liability for any order is limited to the amount you paid for that order, and we are not liable for indirect or consequential loss, including the outcome of any matter.

15. Indemnity

You will indemnify VakilStudio against claims arising from documents you upload without authority, your breach of these Terms, or your use of the work product.

16. Changes

We may change these Terms by posting a new version with a new effective date. Orders already placed continue under the Terms in force when they were placed.

17. Disputes

These Terms are governed by the laws of India. Disputes will first be raised with the Grievance Officer. Unresolved disputes will be referred to a sole arbitrator appointed by mutual agreement, failing which under Section 11 of the Arbitration and Conciliation Act, 1996, seated at Bhubaneswar, in English. Subject to this, the courts at Bhubaneswar have exclusive jurisdiction.
